Referrer Terms of Service

1. Introduction

These Referrer Terms of Service (“Terms”) govern your participation in the Shape AI Referral Program (“Program”), operated by Shape AI (“we”, “us”, or “our”). By joining and participating in the Program, you agree to be bound by these Terms, as well as the general Shape AI Terms of Service and Privacy Policy.

2. Becoming a Referrer

To become an official Referrer, you must complete the onboarding process through Stripe Connect and provide all required information, including verification documents. Payouts can only occur once your account has been fully verified and activated by Stripe.

3. Referral Process

Each Referrer receives a unique referral link to share with potential users. When a new user signs up through your link and maintains an active subscription, you earn a commission. Android users can be directly tracked, while iOS referrals are estimated proportionally based on the overall Android-to-iOS user ratio of Shape AI. This means that the number of referred users may not always reflect exact figures.

4. Referral Commission

Referrers earn a commission of €1.00 for each active monthly subscriber and €0.60 for each active yearly subscriber acquired through their referral link. Commissions are only valid for users with an ongoing active subscription.

5. Payouts

Payouts are processed automatically through Stripe Connect on the 1st day of each month at 03:00 (Berlin time). There is no minimum payout threshold. You are solely responsible for maintaining accurate and valid payout information within your Stripe account.

6. Taxes and Legal Responsibility

Referrers are fully responsible for complying with their own local tax obligations, including but not limited to income tax and VAT. Shape AI does not withhold or remit any taxes on behalf of Referrers.

7. Fraud and Misconduct

Any fraudulent activity, such as the creation of fake accounts, misuse of referral links, or any other form of deception, is strictly prohibited and may result in legal action. Shape AI reserves the right to review and revoke referral rewards in cases of suspected fraud or policy violations.

8. Marketing and Promotion

Referrers have full freedom in promoting Shape AI, provided that their marketing activities are lawful, ethical, and do not harm the reputation or brand of Shape AI. Misrepresentation, spamming, or any misleading advertising is strictly forbidden.

9. Program Modifications and Termination

Shape AI reserves the right to modify, suspend, or terminate the referral program at any time, with or without notice. Any unpaid earnings accrued before such modification or termination will still be processed in accordance with these Terms.

10. Account Suspension or Termination

Shape AI reserves the right to suspend or permanently terminate a Referrer’s account if any of these Terms are violated, or if fraudulent or abusive activity is detected.

11. Limitation of Liability

Shape AI shall not be liable for any indirect, incidental, or consequential damages arising out of participation in the referral program. Earnings are provided “as is” and without warranty. Shape AI does not guarantee any minimum earnings.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Germany. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
